Terms of Service

These Terms of Service ("Terms") govern access to and use of VOSTORQ, a structured discussion workspace service provided by Oktona LLC ("Oktona," "we," "our," or "us"). By creating an account, accepting an invitation, signing in, accessing a workspace, selecting a paid plan, or using VOSTORQ, you agree to these Terms.

If you are using VOSTORQ on behalf of an organization, you represent that you have authority to accept these Terms on behalf of that organization. In that case, "Customer" means the organization that owns, pays for, or manages the workspace, and "you" means both the Customer and its authorized users, as applicable.

If you do not agree to these Terms, you may not access or use VOSTORQ.

1. Definitions

For purposes of these Terms:

  • "VOSTORQ" means the structured discussion workspace service, related software, websites, APIs, documentation, support services, and related services provided by Oktona.
  • "Customer" means the organization that creates, owns, pays for, or manages a workspace.
  • "User" means a person who has access to VOSTORQ through an account or workspace invitation.
  • "Workspace" means an independent company workspace in VOSTORQ. Billing, configuration, users, permissions, and workspace content are managed at the workspace level.
  • "Section" means a group of Spaces.
  • "Space" means a structured area containing Topics.
  • "Subspace" means a Space inside another Space.
  • "Topic" means a persistent discussion inside a Space.
  • "Message" means a user contribution inside a Topic.
  • "Conversation" means a private or group discussion outside a Space, accessible only to explicitly added users.
  • "Agent" means an AI participant created in the workspace.
  • "Agent Trigger" means a trigger or subscription mechanism that activates an Agent automatically.
  • "Customer Data" means content, information, files, data, and materials submitted to or processed through VOSTORQ by Customer or its users.

2. The Service

VOSTORQ helps organizations manage persistent, topic-based discussions. Users may create and participate in Sections, Spaces, Subspaces, Topics, Messages, Conversations, Agent activity, summaries, notifications, files, and related workspace features, depending on their access and assigned role.

We may update, modify, improve, suspend, restrict, replace, or discontinue parts of VOSTORQ from time to time. We may also change feature availability, usage limits, storage limits, technical requirements, or plan features. We will try to avoid materially reducing core functionality without notice when reasonable, but we do not guarantee that any feature, integration, plan, or service component will remain available indefinitely.

3. Accounts and Access

Users must provide accurate account information and keep their login credentials secure. You are responsible for activity that occurs under your account, except where the activity results from Oktona's failure to meet its obligations under these Terms.

Any eligible person may create a VOSTORQ account. However, most VOSTORQ functionality requires the user to create, join, own, pay for, or be authorized to access a Workspace. A user who is not associated with a Workspace may have limited access, such as managing their own profile name, avatar, account settings, and related personal account information.

Users may access a Workspace only if they create it, are invited to it, are authorized by the Customer, or are otherwise permitted by Oktona. You may not share your account, transfer your account, or allow another person to use your account.

Customers are responsible for managing workspace users, assigned roles, access settings, and permissions. Customers are also responsible for removing access when a user should no longer have access to a workspace.

We may refuse to provide VOSTORQ, refuse to create an account, reject a workspace, limit access, suspend access, or terminate access to any Customer or user where we determine that doing so is necessary or appropriate to protect VOSTORQ, Oktona, other customers, users, service providers, payment providers, or third parties, or to comply with law, these Terms, payment-provider requirements, security requirements, or business risk controls.

4. Age Requirement

VOSTORQ is intended for users who are at least 16 years old. By accessing or using VOSTORQ, you represent that you are at least 16 years old.

If you are using VOSTORQ on behalf of an organization, the organization is responsible for ensuring that its invited users meet this age requirement.

5. Workspace Roles and Permissions

VOSTORQ may support roles such as Viewer, Engager, Responder, Contributor, Coordinator, Space Lead, Manager, and Owner. Available actions depend on the user's role, workspace configuration, Space access, Conversation membership, and other permission settings.

Owners may have full access to workspace configuration. Managers may manage workspace structure. Space Leads may manage Spaces and space-level access or settings. Coordinators may moderate content, including deleting Messages, moving Topics, closing Topics, and pinning Messages, subject to workspace configuration.

Workspace Owners and other authorized workspace management roles may have access to Workspace content beyond ordinary participant visibility, including content in private Spaces and Conversations, where permitted by their assigned role, workspace configuration, applicable agreement, or organization policies.

Oktona is not responsible for Customer decisions about user access, role assignment, permission configuration, moderation decisions, internal workspace governance, or internal use of workspace content.

6. Customer Data

Customer owns or controls Customer Data. These Terms do not transfer ownership of Customer Data to Oktona.

Customer grants Oktona a limited right to host, store, process, transmit, display, reproduce, and otherwise use Customer Data only as needed to provide, secure, support, maintain, operate, and improve VOSTORQ, comply with law, enforce these Terms, prevent abuse, and protect the service.

Customer is responsible for Customer Data, including its accuracy, legality, reliability, appropriateness, and use. Customer represents that it has all rights, permissions, notices, and authority needed to submit Customer Data to VOSTORQ and to allow Oktona to process Customer Data as described in these Terms and the Privacy Policy.

Oktona is not responsible for reviewing Customer Data for accuracy, legality, completeness, business value, confidentiality, or compliance with Customer's internal policies.

7. Workspace Content and Visibility

Content visibility depends on workspace membership, whether a Space is public or private within the Workspace, Conversation membership, assigned role, and configured permissions.

  • By default, Workspace users may access Spaces in the Workspace unless a Space is explicitly marked as private or access is otherwise restricted by workspace configuration.
  • Users with access to a Space can view content available in that Space, subject to their permissions.
  • Private Spaces are available only to users who are granted access to that Space or who have a role that permits them to manage or access private Space content.
  • Only explicitly added users can view a Conversation during ordinary use, subject to Workspace management controls described in these Terms.
  • Workspace Owners and other authorized workspace management roles may be able to access, manage, export, delete, or otherwise process Workspace content according to their assigned role, workspace configuration, applicable agreement, and organization policies.
  • Workspace management access may include content in Spaces, private Spaces, Topics, Messages, Conversations, files, summaries, Agent activity, and related records.
  • Workspace configuration may affect who can create, view, reply to, move, close, delete, pin, export, or manage content.

Customers are responsible for configuring access controls, assigning appropriate roles, and deciding which users or workspace management roles may access Workspace content.

8. Conversations

VOSTORQ supports private and group Conversations outside of Spaces. During ordinary use, Conversations are accessible only to explicitly added users. However, Conversations are part of the Workspace and may be subject to Workspace management, access, export, retention, security, compliance, legal, and support controls.

Authorized Workspace Owners or other authorized workspace management roles may be able to access, manage, export, delete, or otherwise process Conversation content according to their assigned role, workspace configuration, applicable agreement, and organization policies.

Conversation content is processed by VOSTORQ as needed to provide the service, including storage, delivery, search, notifications, security, support, and related product functionality.

9. AI Features and Agents

VOSTORQ includes AI-assisted features. Agents can help summarize discussions, answer questions from available context, and participate in Topics when invoked or activated through Agent Triggers.

Agent responses depend on the context and permissions available to the Agent. Agents may process relevant workspace content to provide summaries, answers, suggestions, analysis, or other AI-assisted output.

We do not use workspace content to train general-purpose AI models unless the Customer has agreed to that use.

Users should review Agent responses before relying on them for decisions. AI-generated output may be incomplete, inaccurate, outdated, or based on limited context. Agents do not replace human review, professional judgment, legal advice, financial advice, security review, management approval, or operational responsibility.

Customer is responsible for configuring Agent access, Agent instructions, Agent Triggers, and related workspace permissions according to its internal policies.

10. Acceptable Use

You may not use VOSTORQ to:

  • Violate applicable laws, regulations, contracts, or third-party rights.
  • Submit content that is unlawful, fraudulent, defamatory, harassing, abusive, or deceptive.
  • Upload malware, harmful code, or content intended to disrupt systems or data.
  • Attempt to gain unauthorized access to VOSTORQ, other workspaces, accounts, systems, or networks.
  • Interfere with, overload, scan, test, scrape, crawl, or disrupt VOSTORQ without written authorization.
  • Reverse engineer, decompile, copy, resell, sublicense, or commercially exploit VOSTORQ except as expressly permitted by these Terms.
  • Use VOSTORQ to send spam, phishing messages, or other unauthorized communications.
  • Misrepresent identity, affiliation, authorization, or the source of content.
  • Use VOSTORQ to create, store, or distribute content that infringes intellectual property rights.
  • Use VOSTORQ in a way that could harm Oktona, other customers, users, service providers, payment providers, or the security, reputation, or availability of the service.
  • Use VOSTORQ for any business, activity, content, or transaction that violates the rules, requirements, or restrictions of our payment providers, card networks, banks, infrastructure providers, or AI service providers.

We may investigate suspected violations and may remove content, restrict features, suspend accounts, suspend workspaces, terminate access, or take other action we consider necessary or appropriate.

11. Regulated Data

VOSTORQ is not intended for storing highly regulated information unless Customer has confirmed that its use of VOSTORQ is appropriate for that information and has any required agreement in place.

Customer may not submit protected health information, payment card data, government-classified information, sensitive financial records, student education records, or other regulated data unless Oktona has agreed in writing that VOSTORQ may be used for that type of data.

12. Security

Oktona takes reasonable administrative, technical, and organizational measures to protect VOSTORQ and Customer Data from unauthorized access, disclosure, alteration, or misuse. However, no internet transmission, storage system, or online service can be guaranteed 100% secure.

Customer is responsible for managing user access, using secure passwords, protecting account credentials, reviewing workspace permissions, configuring authentication settings where available, and promptly notifying Oktona of suspected unauthorized access or security issues involving VOSTORQ.

13. Third-Party Services

VOSTORQ may use or integrate with third-party services for hosting, infrastructure, authentication, storage, analytics, monitoring, communications, customer support, AI functionality, and payment processing.

Third-party service providers are not permitted to use workspace content for their own purposes except as allowed by their agreement with us or the Customer.

If Customer enables or uses integrations with third-party services, Customer is responsible for reviewing and accepting the terms, privacy practices, data handling rules, usage limits, and restrictions of those services. Oktona is not responsible for third-party services that are not controlled by Oktona.

VOSTORQ may be affected by interruptions, changes, suspensions, restrictions, price changes, service limits, or termination of third-party services. Oktona is not responsible for failures or unavailability caused by third-party services outside Oktona's control.

14. Fees, Billing, and Payment

Paid workspaces are billed according to the applicable plan, order, invoice, checkout page, or written agreement. Customer agrees to pay all applicable fees and taxes for the selected plan and any additional usage, seats, features, storage, Agent activity, or services ordered or used.

VOSTORQ may charge fees on a per-seat basis. Unless the applicable plan, checkout page, order, or written agreement states otherwise, adding users to a paid Workspace may automatically increase the number of billable seats and the amount charged for the Workspace, without additional notice at the time each user is added. Customer is responsible for reviewing Workspace users, billable seats, and plan usage.

Payment processing may be handled by a third-party payment provider, such as Stripe. Customer authorizes Oktona and its payment provider to charge the payment method provided for applicable fees, taxes, renewals, usage-based charges, seat-based charges, and other amounts due.

Customer must provide accurate billing information and keep payment information current. If a payment fails, is disputed, is reversed, is charged back, or cannot be processed, Oktona may suspend, restrict, downgrade, or terminate access to the affected Workspace.

Oktona may choose not to suspend, restrict, downgrade, or terminate access immediately after a failed, overdue, disputed, reversed, or unpaid charge. Continued access does not waive any payment obligation, forgive any unpaid amount, prevent additional charges from accruing, or limit Oktona's right to collect amounts due.

Payment providers, card networks, banks, and financial partners may reject, hold, reverse, restrict, or review payments. Oktona is not responsible for payment delays, payment holds, payment-provider restrictions, card network actions, bank actions, chargebacks, or payment processing failures outside Oktona's control.

Unless otherwise stated in an applicable order, fees are non-refundable except where required by law or expressly agreed by Oktona in writing.

If payment is overdue, Oktona may suspend or restrict access to the affected Workspace after reasonable notice, unless the overdue amount is subject to a good-faith billing dispute. We may act without prior notice if required by law, payment-provider rules, security concerns, fraud risk, chargeback risk, or other urgent business risk.

15. Subscriptions, Renewals, and Cancellation

If Customer selects a recurring subscription, the subscription will renew automatically at the stated billing interval unless Customer cancels before the renewal date or the applicable order states otherwise.

Before Customer starts a paid subscription, VOSTORQ or the applicable checkout process will identify the material billing terms, including the plan, price, billing interval, renewal behavior, and cancellation method.

If the plan is billed per seat, the checkout process, plan page, order, or written agreement will identify that seat-based billing applies. Customer acknowledges that adding users to a paid Workspace may increase the subscription charges for the current or next billing period, depending on the applicable plan and billing configuration.

Customer may cancel a subscription using the cancellation options available in VOSTORQ or by contacting Oktona support if in-product cancellation is not available. Cancellation takes effect at the end of the then-current billing period unless the applicable plan, checkout page, order, or written agreement states otherwise.

Cancellation does not relieve Customer of responsibility for fees already incurred, unpaid charges, taxes, or usage-based charges incurred before cancellation takes effect.

16. Subscription Changes

Customer may upgrade, downgrade, or change a paid workspace according to the options available in VOSTORQ or the applicable agreement.

Changes may affect available features, storage, user limits, Agent functionality, retention, billing, and access to workspace content. Customer is responsible for exporting or preserving any Customer Data before cancellation or downgrade if needed.

Oktona may change plan names, prices, features, limits, and billing rules. Where reasonable, Oktona will provide notice before material pricing changes apply to an existing paid subscription.

17. Taxes

Fees do not include taxes unless stated otherwise. Customer is responsible for all applicable taxes, duties, levies, and similar governmental charges, excluding taxes based on Oktona's net income.

18. Support

Oktona may provide support through email, in-product support, documentation, or other support channels. Support availability, response times, and support scope may depend on the Customer's plan or written agreement.

To troubleshoot issues, Oktona may need information about the workspace, account, browser, device, logs, configuration, and relevant workspace activity. Oktona will handle support information as described in the Privacy Policy.

19. Service Availability

We aim to provide a reliable service, but VOSTORQ may be unavailable from time to time due to maintenance, updates, outages, third-party service issues, payment-provider issues, security events, abuse prevention, infrastructure failures, or circumstances outside our reasonable control.

Unless a separate written service level agreement applies, VOSTORQ is provided without a guaranteed uptime commitment.

20. Customer Feedback

If you provide feedback, suggestions, ideas, or recommendations about VOSTORQ, you grant Oktona the right to use that feedback without restriction or compensation. Feedback does not include Customer Data.

21. Oktona Intellectual Property

Oktona owns VOSTORQ, including the software, design, interfaces, workflows, documentation, trademarks, service marks, logos, technology, and related intellectual property. Except for the limited right to use VOSTORQ under these Terms, no rights are granted to Customer or users.

You may not remove proprietary notices, copy substantial parts of VOSTORQ, create derivative works based on VOSTORQ, or use Oktona's marks without written permission.

22. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential based on the nature of the information or the circumstances of disclosure.

The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care. Confidential information does not include information that is publicly available, already known without a duty of confidentiality, independently developed, or lawfully received from a third party without a duty of confidentiality.

A party may disclose confidential information if required by law, court order, payment-provider requirement, card network rule, bank requirement, lawful government request, or other legal obligation, provided that it gives notice where legally permitted.

23. Privacy

Oktona's Privacy Policy explains how we collect, use, share, and protect information processed through VOSTORQ. By using VOSTORQ, you acknowledge the Privacy Policy.

24. Data Export and Deletion

Workspace Owners or other authorized users may be able to export, delete, or manage certain workspace content, users, and settings, depending on available product functionality and plan.

Deleting a user account may not automatically delete Messages, Topics, Conversations, files, logs, audit records, billing records, security records, or other information that belongs to or is retained by the workspace organization.

After termination or cancellation, Oktona may retain Customer Data for a limited period to allow export, comply with legal obligations, resolve disputes, enforce agreements, maintain security, process billing records, respond to payment disputes, preserve backups, or meet operational requirements. After that period, Customer Data may be deleted or made unavailable, subject to applicable law and any separate written agreement.

Customer is responsible for exporting Customer Data before cancellation, termination, downgrade, or expiration where export is needed and available.

25. Suspension, Restriction, and Termination

Customer may stop using VOSTORQ or cancel a workspace according to the available product options or applicable agreement.

Oktona may suspend, restrict, downgrade, disable, or terminate access to VOSTORQ, any workspace, any account, any feature, or any Customer Data if:

  • Customer or a user violates these Terms.
  • Customer fails to pay amounts due, whether or not Oktona has suspended access.
  • A payment fails, is disputed, is reversed, is charged back, or creates payment risk.
  • Use of VOSTORQ creates security, legal, operational, reputational, financial, or compliance risk.
  • Use of VOSTORQ may harm Oktona, VOSTORQ, other customers, users, service providers, payment providers, or third parties.
  • Customer Data or use of VOSTORQ violates applicable law, third-party rights, provider requirements, or acceptable use rules.
  • A payment provider, card network, bank, infrastructure provider, AI provider, or other service provider requires or recommends restriction.
  • Oktona determines that continuing to provide VOSTORQ is not commercially, legally, operationally, or technically appropriate.
  • Suspension, restriction, or termination is required to comply with law, legal process, sanctions, export controls, or government request.

Where reasonable, Oktona may provide notice and an opportunity to resolve the issue before suspension or termination. We may act immediately and without prior notice if needed to protect VOSTORQ, Customer Data, users, other customers, Oktona, service providers, payment providers, or third parties, or if required by law, provider rules, or urgent business risk.

Oktona may terminate a free workspace, trial workspace, inactive workspace, or unpaid workspace at any time. Oktona may also stop offering VOSTORQ or any part of VOSTORQ. If Oktona terminates a paid workspace for convenience and not because of breach, non-payment, risk, legal requirement, provider requirement, or misuse, Oktona may provide a prorated refund of prepaid, unused fees where appropriate.

If Oktona terminates or suspends access because of breach, non-payment, chargeback, fraud risk, security risk, legal risk, provider requirement, or misuse, Customer is not entitled to a refund unless required by law or expressly agreed by Oktona in writing.

26. Effects of Termination

Upon termination, Customer's right to access and use VOSTORQ will end. Customer remains responsible for fees incurred before termination and for any unpaid charges, taxes, payment disputes, chargebacks, or usage-based charges.

Sections of these Terms that by their nature should survive termination will survive, including provisions relating to Customer Data, payment obligations, confidentiality, intellectual property, privacy, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and general terms.

27. Disclaimers

VOSTORQ is provided "as is" and "as available" except as expressly stated in these Terms or a separate written agreement.

To the maximum extent permitted by law, Oktona disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted operation.

Oktona does not warrant that VOSTORQ will be uninterrupted, error-free, secure, available at any particular time, free from harmful components, compatible with Customer's systems, or that Customer Data will never be lost, damaged, unavailable, or corrupted.

Oktona does not warrant that Agent responses or AI-assisted features will be accurate, complete, current, lawful, safe, non-infringing, or suitable for any particular decision.

Customer is responsible for evaluating whether VOSTORQ is appropriate for Customer's intended use, legal obligations, internal policies, security requirements, retention needs, and business requirements.

28. Limitation of Liability

To the maximum extent permitted by law, Oktona will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, loss of anticipated savings, service interruption, data loss, data corruption, replacement services, business interruption, payment-provider actions, third-party service failures, or loss resulting from Customer's use of or inability to use VOSTORQ, even if Oktona has been advised of the possibility of such damages.

To the maximum extent permitted by law, Oktona's total liability arising out of or related to these Terms or VOSTORQ will not exceed the amounts paid by Customer to Oktona for the affected workspace during the twelve months before the event giving rise to the claim.

If Customer used VOSTORQ for free, through a trial, or without paying fees during the twelve months before the event giving rise to the claim, Oktona's total liability will not exceed one hundred U.S. dollars.

These limitations apply regardless of the legal theory, whether based on contract, tort, negligence, strict liability, warranty, statute, or otherwise.

29. Indemnification

Customer will defend, indemnify, and hold harmless Oktona, its affiliates, officers, directors, employees, contractors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Customer Data.
  • Customer's or users' use of VOSTORQ.
  • Customer's or users' violation of these Terms.
  • Customer's or users' violation of applicable law or third-party rights.
  • Customer's payment disputes, chargebacks, tax obligations, or billing disputes.
  • Customer's access decisions, workspace configuration, role assignments, moderation decisions, or internal use of workspace content.
  • Customer's use of VOSTORQ with third-party services, integrations, providers, or systems not controlled by Oktona.

Oktona will provide reasonable notice of a claim and reasonable cooperation, at Customer's expense, where required for Customer to perform its indemnification obligations.

30. Copyright and Intellectual Property Complaints

If you believe content in VOSTORQ infringes your intellectual property rights, contact us with enough information to identify the content, the rights you claim, and how we can contact you. We may remove or restrict access to content that we reasonably believe may infringe third-party rights or violate these Terms.

31. Government and Export Restrictions

You may not use VOSTORQ in violation of export control laws, sanctions, or trade restrictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions, and that you are not listed on a restricted party list that would prohibit use of VOSTORQ.

32. Changes to These Terms

We may update these Terms from time to time. Updates will be posted with a revised effective date. If changes are material, we may provide additional notice through VOSTORQ, by email, or by another appropriate method.

Continued use of VOSTORQ after updated Terms become effective means that you accept the updated Terms. If you do not agree to the updated Terms, you must stop using VOSTORQ.

33. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules.

Except where arbitration is required by a separate written agreement, the parties consent to the exclusive jurisdiction and venue of the state courts located in Ellis County, Texas, and the federal courts located in the Northern District of Texas, Dallas Division, for disputes arising out of or related to these Terms or VOSTORQ.

Customer and users waive any objection to jurisdiction or venue in those courts, including any objection based on inconvenient forum, to the maximum extent permitted by law.

34. Order of Precedence

If there is a conflict between these Terms and a signed written agreement between Oktona and Customer, the signed written agreement controls for that Customer. If there is a conflict between these Terms and an order form, invoice, or checkout page, the order form, invoice, or checkout page controls only for pricing, plan, subscription term, usage limits, and payment details.

35. Electronic Communications and Acceptance

Customer and users agree that these Terms, orders, invoices, checkout confirmations, notices, and related communications may be provided electronically. Electronic acceptance, continued use, account creation, workspace access, or selection of a paid plan may be used to show agreement to these Terms or related transaction terms.

36. General Terms

These Terms do not create a partnership, joint venture, employment relationship, agency relationship, franchise, or fiduciary relationship between you and Oktona.

You may not assign these Terms without Oktona's prior written consent, except to a successor in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets. Oktona may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, transfer of VOSTORQ, or change in control.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.

These Terms, together with the Privacy Policy and any applicable order, invoice, checkout page, or signed written agreement, are the entire agreement between you and Oktona regarding VOSTORQ.
